Customer Services Agreement

E-Commerce Services Agreement
This E-Commerce Services Agreement ("Agreement") is effective as of your acceptance of this Agreement from your provided electronic mail address, or in any other form of electronic record including, if applicable or provided, clicking on the check box or "I Agree" / "Accept" button or any other means that signifies your acceptance of this Agreement ("Execution Date"), between:
You, as a natural or legal person capable of entering into a valid and legally binding contract under applicable laws, including, being of sound mind, not declared bankrupt, and at least 18 years old on the Execution Date. If you are a legal entity, the person accepting this Agreement confirms they are duly authorized by you to bind you to this Agreement and the provided electronic mail address is valid and current, as designated by you to such person (hereinafter referred to as "Customer/s," which includes its heirs, legal representatives, successors, liquidators, administrators, and permitted assigns), on one part;
And Accurate Information & Technology ("Service Provider"), engaged in providing e-commerce platforms and services for independent third-party retailers, wholesalers, and manufacturers ("Merchants"), on the other part.
The Customer and Service Provider may be individually referred to as a "Party" and collectively as the "Parties."
Recitals
Customer wishes to purchase products from the Service Provider's online platform, sourced by the Service Provider from certain Merchants. Merchants are involved in the business of developing, manufacturing, and/or selling various products within the relevant territory ("Business").
Service Provider specializes in developing and operating e-commerce businesses for independent third-party retailers, wholesalers, and manufacturers, providing them with proprietary technology, a website, order processing capabilities, customer service, invoicing, and payment management to enable Merchants to offer their products through e-commerce to their customers. This includes platform services and transaction support services ("Service Provider Business").
Service Provider has made significant investments in building its brand name and reputation among consumers and Merchants, aiming to establish a specific retail experience for presenting and selling products on and through its platform.
